New Entity Filing Fees Temporarily Suspended

The Budget Act of 2022 (“Act“) was officially signed into law on June 28, 2022.  The Act covers several items, one of which is a suspension of certain initial corporate filing fees from the California Secretary of State through July 30, 2023.  In other words, generally speaking, the cost to file articles of incorporation (for corporations), articles of organization (for LLC’s), or certificates of limited partnerships are waived for the next year.  Similarly, the cost to register an out of state entity in California has also been waived.

However, annual taxes to the Franchise Tax Board are still in full effect.  Similarly, the only fees suspended are “initial” filing fees, so you still have to pay for any amendments or statements of information.
